Ordering Process

Important Notice

These Service Terms define the scope, responsibilities, and working principles under which ZhongXin Sheet Metal Fabrication (“we”, “us”, or “our”) provides manufacturing services to customers (“you” or “the customer”).

These Service Terms apply to all quotation-based manufacturing projects unless otherwise agreed in writing.

1. Scope of Services

We provide custom manufacturing services, including but not limited to:

  • Sheet metal fabrication
  • Bending and forming
  • Welding and welded assemblies
  • Machining where required as part of an assembly
  • Surface finishing and subcontracted treatments
  • Prototype development, sample production, and batch manufacturing
Important Note

All services are non-standard and project-based, executed according to customer-approved drawings, samples, or written specifications.

2. Basis of Manufacturing

Manufacturing is performed strictly based on one or more of the following, as confirmed before production:

  • Customer-provided 2D drawings
  • Customer-provided 3D models
  • Customer-provided physical samples
  • Written technical specifications approved by both parties

Customer-provided drawings, models, or samples shall clearly specify all critical technical requirements, including but not limited to tolerances, material grades or standards, surface finish requirements, and functional constraints.

Customer Responsibility

If any such information is missing, unclear, or open to interpretation, products will be manufactured according to standard industry practices and our internal manufacturing standards. In such cases, we shall not be held responsible for deviations arising from incomplete or insufficient customer-provided information.

Engineering Changes

Once production starts, any changes to drawings, models, samples, materials, or specifications are considered engineering changes and may affect cost, lead time, and delivery.

3. Prototypes, Samples, and Production Stages

Prototype Production

Prototype production is conducted for the purpose of design validation and improvement. Prototypes are intended to test feasibility, structure, and function, and to provide a basis for design modification and optimization.

Important

Prototype outcomes are part of an iterative engineering process and do not constitute confirmation of production readiness. Prototype outcomes that do not meet expectations may result from design-related factors and shall not be automatically attributed to manufacturing responsibility.

Sample Production

Samples are produced to verify manufacturability and to confirm dimensions, structure, surface finish, and assembly intent based on finalized design information.

Sample approval confirms that the product is production-ready and establishes the manufacturing standard for subsequent production.

Batch Production

Batch or mass production proceeds based on approved samples, drawings, or written specifications, unless otherwise agreed in writing.

4. Engineering Changes & Revisions

Any change requested after quotation or during prototype, sample, or production stages, including but not limited to:

  • Dimensional changes
  • Material changes
  • Tolerance adjustments
  • Surface finish changes
  • Assembly or structural changes

must be confirmed in writing.

Impact Assessment

We reserve the right to re-quote pricing and lead time based on the impact of such changes.

5. Quality Standards, Inspection & Acceptance

Unless otherwise specified, products are manufactured to:

Customer Specifications

Customer-approved drawings, samples, or written specifications

Industry Standards

Industry-standard tolerances appropriate for the selected manufacturing process

Internal QC Procedures

Internal quality control procedures

Minor variations within applicable tolerances or normal manufacturing variation do not constitute defects.

Acceptance Criteria

Products shall be deemed accepted if they conform to the customer-approved drawings, samples, or written specifications. Acceptance shall not be based on subjective judgment or undocumented expectations.

Liability Limitation

Unless explicitly agreed in writing, we do not assume responsibility for system-level performance, downstream integration, or end-use application beyond the manufactured products.

6. Rejection, Remedies & Refunds

If the customer believes that delivered products do not conform to the approved drawings, samples, or written specifications, the customer shall provide objective evidence of non-conformity.

Rejection or refund requests shall be evaluated based on confirmed manufacturing requirements, not subjective expectations or undocumented assumptions.

Where non-conformity is confirmed, appropriate remedies may include repair, replacement, or other mutually agreed solutions. Refunds are considered only where corrective action is not feasible.

We aim to resolve quality concerns through practical and reasonable solutions.

7. Customer Responsibilities

The customer is responsible for:

  • Providing accurate, complete, and manufacturable drawings or samples
  • Clearly communicating technical requirements and design intent
  • Reviewing and approving prototypes, samples, documents, and confirmations in a timely manner
  • Ensuring that designs are suitable for the intended application

We are not responsible for issues arising from incomplete, incorrect, or ambiguous information provided by the customer.

8. Lead Time & Delivery

Lead times are estimated based on:

  • Approved specifications
  • Material availability
  • Production complexity
  • Order quantity

Delays caused by design changes, late approvals, or force majeure events may affect delivery schedules.

Shipping Options

Shipment terms are defined in the quotation or order confirmation. We support EXW, FCA, FOB, DAP, and DDP shipment arrangements, depending on project requirements and destination.

9. Pricing & Cost Assumptions

Quoted prices are based on:

  • Approved drawings, samples, and specifications
  • Defined production quantities
  • Current material and processing costs
Cost Adjustments

Additional costs may apply if assumptions change due to revisions, special requirements, or unforeseen manufacturing complexity.

10. Intellectual Property & Confidentiality

All customer-provided drawings, models, samples, and technical data remain the intellectual property of the customer.

Confidentiality Assurance

We treat all customer information as confidential and use it solely for manufacturing and internal process purposes unless otherwise agreed in writing.

11. Limitation of Liability

Our liability is limited to the value of the products or services supplied under the relevant order.

We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profit, system failure, or downstream application issues.

12. Force Majeure

We shall not be held responsible for delays or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, labor disruptions, supply chain interruptions, or governmental actions.

13. Dispute Resolution

Any disputes shall be resolved through friendly negotiation first.

If no resolution is reached, disputes shall be handled according to the governing law and jurisdiction agreed in the commercial contract or order confirmation.

14. Amendments & Applicability

These Service Terms may be updated from time to time.

The version in effect at the time of order confirmation shall apply unless otherwise agreed in writing.
